General Terms and Conditions of Sale

This document outlines the contractual framework of the 'Mission' entrusted to Seder UHNWI: mission contract, fee structures, relationships with service providers, cancellation conditions, liability, and confidentiality.

Subject Matter and Scope of Application

These General Terms and Conditions of Sale (GTCS) define the rights and obligations of the Parties within the framework of concierge services, event planning, stays, and lifestyle experiences provided by Seder UHNWI on behalf of its clients. They supplement the Mission Contract and the Quote / Commercial Proposal which describe the specific service provided (referred to as 'the Mission'). Any signature of a quote or contract constitutes full and unreserved acceptance of these GTCS.

Quote, Validation, and Mission Confirmation

Each project is subject to a Quote / Commercial Proposal detailing the nature of the Mission, the main service categories, and Seder UHNWI's professional fees. The Mission is definitively confirmed upon: — the signature of the quote and/or the Mission Contract; — the receipt of the required deposit. Unless otherwise stated, the quote is valid for a limited period of 15 days. After this period, service provider availability and rates may change, and a new quote may be issued.

Seder UHNWI Fees and Payment Terms

Seder UHNWI's fees cover, in particular: — the design and structuring of the Mission; — communication with the Client and service providers; — upstream coordination; — logistical preparation; — the operational presence of Seder UHNWI or its team when scheduled. Fees may take the form of a flat rate and/or a percentage of the estimated budget, with a minimum billing amount where applicable. They are always clearly indicated in the quote. Unless otherwise specified, the standard payment schedule is as follows: — 40% upon signature (Mission validation); — 40% no later than 15 days before the start of the event / stay; — 20% upon completion of the Mission, upon presentation of the final invoice and any validated additional costs. In the event of late payment, Seder UHNWI reserves the right to suspend the preparation of the Mission and to apply, where necessary, late payment interest and/or reclassify the Mission as a cancellation initiated by the Client.

Cancellation and Modifications by the Client

Any request for modification (date, location, times, number of participants, nature of services, etc.) must be made in writing. Seder UHNWI will make its best efforts to accommodate such requests, subject to provider availability and timelines. Any modification may result in a revision of the quote and additional costs, which will be subject to Client approval. In the event of Mission cancellation by the Client, excluding Force Majeure: — more than 7 days before the start date: no deposit will be refunded; — less than 7 days before the start date: 100% of Seder UHNWI fees are due. Cancellation conditions specific to each service provider (venue, caterer, hotel, transport, artist, technical services, etc.) apply in addition, and any associated costs remain the sole responsibility of the Client.

Independent Service Providers and Liability

Operational services (accommodation, catering, transport, technical, security, artists, activities, etc.) are provided by service providers independent of Seder UHNWI. Contracts with these providers are either concluded directly between the Client and the provider or, for simplicity, managed by Seder UHNWI on behalf of the Client. In all cases, each provider remains solely responsible for the proper execution of their service and compliance with applicable standards (hygiene, safety, insurance, licensing, etc.). Seder UHNWI is bound by an obligation of means: it employs all reasonable efforts to ensure the design, coordination, and smooth running of the Mission but cannot be held liable for damages resulting exclusively from a service provider or a third party. Except in cases of gross negligence or intentional misconduct, Seder UHNWI’s global liability, across all causes, is limited to the amount of fees (excl. tax) received for the Mission concerned.

Confidentiality, Image, and Discretion

Seder UHNWI attaches central importance to confidentiality and discretion. Seder UHNWI undertakes to treat as strictly confidential: — the identity of the Client; — the identity of guests and participants; — practical, logistical, and financial information related to the Mission; — all written and oral correspondence. No use of images, names, logos, or Mission narratives (on the website, social media, portfolio, press relations, etc.) shall be made without the prior written consent of the Client, including for particularly sensitive events.

Personal Data

Personal data communicated to Seder UHNWI (identity, contact details, preferences, information related to events or stays, etc.) are used solely for the needs of the Mission: organization, bookings, security, billing, and client relationship management. They may be transmitted, when necessary, to service providers involved in the Mission, within the limits of what is strictly useful. The Client has the right to access, rectify, and delete their data, as well as the right to object to certain types of processing. Claims

Any claim relating to the Mission (organization, execution, billing) must be made in writing within 7 days following the end of the service. After this period, the Mission will be deemed compliant and accepted. Seder UHNWI remains available for any discussion or feedback in a spirit of continuous improvement.

Governing Law, Jurisdiction, and Force Majeure

These General Terms and the Mission Contract are subject, unless otherwise indicated, to Israeli law. In the event of a dispute and following an attempt at an amicable resolution, the competent courts of Jerusalem shall have exclusive jurisdiction. Neither Party can be held liable if the non-performance of an obligation results from a Force Majeure event (war, act of terrorism, civil unrest, natural disaster, epidemic, administrative decision, site closures, etc.). In such cases, the Parties will endeavor in good faith to postpone, adapt, or resize the Mission; costs already incurred will be settled based on the possibilities for postponement, credits, or refunds offered by the service providers.

The contractual version applicable to your project is found on the Quote and/or the Mission Contract signed with Seder UHNWI. In the event of a discrepancy, those documents shall prevail.
